Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and FreelanceNation ("FreelanceNation", "we", "us", or "our") governing your access to and use of freelancenation.com and our platform (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate information, to keep your account credentials secure, and to be responsible for all activity under your account. Notify us promptly of any unauthorized use. We may refuse, suspend, or terminate accounts at our discretion.
2. The Service
FreelanceNation is a marketplace that lets freelancers ("Sellers") package services into fixed tiers, publish shareable gig pages, and sell to buyers ("Buyers") through self-serve checkout. We provide the platform; we are not a party to the contracts formed between Sellers and Buyers and do not perform the services offered.
3. Acceptable use
You agree not to:
- post unlawful, infringing, deceptive, harassing, or harmful content;
- misrepresent your identity, services, or affiliations;
- circumvent platform fees or take transactions off-platform to avoid them;
- interfere with, scrape, or attempt to gain unauthorized access to the Service;
- upload malware or content that violates the rights of others;
- use the Service to sell anything illegal or prohibited by our policies.
We may remove content and suspend accounts that violate these rules.
4. Seller obligations
Sellers are responsible for the accuracy of their gig pages, the quality and timely delivery of their work, and compliance with applicable laws and taxes. Sellers grant Buyers the rights described in each tier and must honor the scope, price, and delivery time they publish.
5. Payments, fees, and payouts
Subscription plans are billed in advance on a monthly or yearly basis in US dollars and are non-refundable except where required by law. A marketplace fee applies to each completed order based on your plan (for example, 8% on Starter, 5% on Pro, and 3% on Studio). Buyers pay through self-serve checkout, and Sellers receive payouts after an order is delivered and approved, minus the applicable fee. Payment processing is handled by third-party processors, and you authorize us and them to charge and disburse funds as described. Chargebacks, refunds, and disputes are handled under our then-current policies.
6. Intellectual property
The Service, including its software, design, and trademarks, is owned by FreelanceNation and protected by law. You may not copy, modify, or create derivative works of the Service except as allowed by these Terms. You retain ownership of content you submit, and you grant us a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content as needed to operate and promote the Service. Deliverables exchanged between Sellers and Buyers are governed by the rights granted in the applicable tier.
7. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, and we do not guarantee any results, earnings, or sales.
8. Limitation of liability
To the maximum extent permitted by law, FreelanceNation and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars.
9. Indemnification
You agree to indemnify and hold harmless FreelanceNation and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content, or your violation of these Terms or the rights of others.
10. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, or for any reason with reasonable notice. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, and limitations of liability.
11. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration, where permitted by law.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.
